Terms of Service

1. Agreement to these Terms

These Terms of Service (“Terms”) govern your access to and use of SK TradeLog, including the website at sktradelog.com, related applications, and any features we make available (collectively, the “Service”). The Service is operated by SK TradeLog (“SK TradeLog,” “we,” “us,” or “our”).

By creating an account, signing in, or otherwise using the Service, you agree to these Terms and to our Privacy Policy and Disclaimer, which are incorporated by reference. If you do not agree, do not use the Service.

2. What the Service is (and is not)

SK TradeLog is an informational trade-journaling and analytics product for stocks and options. Features may include trade logging, imports and broker sync, dashboards, analytics, custom reports, playbooks, notebooks, sharing, and related tools.

The Service is not a broker-dealer, exchange, clearing firm, bank, custodial wallet, or registered investment adviser. We do not execute, clear, or settle trades; hold customer funds or securities; or provide personalized investment, tax, legal, or accounting advice. See the Disclaimer for risk and “not advice” language that is part of these Terms.

We may add, change, or discontinue features at any time. We are not liable to you or any third party solely because we exercise that right.

3. Eligibility and accounts

You must be at least 18 years old (or the age of majority where you live, if higher) and able to form a binding contract to use the Service. The Service is intended for individual traders and is not directed to children under 13.

You agree to provide accurate registration information and keep it current. You are responsible for safeguarding your credentials (including OAuth connections) and for all activity under your account. Notify us promptly at support@sktradelog.com if you suspect unauthorized use. We may refuse, suspend, or reclaim usernames or accounts that violate these Terms or that we reasonably believe are abusive or fraudulent.

4. Plans, trials, and billing

We offer a free plan and paid plans (currently described as Good, Better, and Best). Features, limits, and prices are shown on the Service and may change. Where paid billing is enabled:

  • Fees are charged in advance for the billing period you select (for example, monthly), unless we state otherwise at checkout.
  • Subscriptions renew automatically until you cancel, change plans, or we terminate the Service for your account.
  • You authorize us (and our payment processor, when configured) to charge your payment method for applicable fees and taxes.
  • Unless required by law or expressly stated at purchase, fees are non-refundable, including for partial periods, unused features, or downgrades mid-cycle.
  • We may change pricing with notice by updating the plans page and/or emailing the address on your account. Continued use after the change takes effect constitutes acceptance of the new pricing for subsequent periods.

If a payment fails, we may limit access to paid features until payment succeeds. You remain responsible for amounts owed.

5. Broker connections, imports, and your trading data

You may enter trades manually, upload broker exports, or authorize connections to supported brokers or data sources. By doing so, you:

  • Represent that you have the right to provide that data and to grant us access as needed to operate the features you request;
  • Authorize us to retrieve, store, process, and display that data inside your account; and
  • Acknowledge that broker APIs, file formats, and market data feeds can change, fail, or return incomplete or delayed information.

You retain ownership of your trading and journal content. We do not claim ownership of your fills, notes, or playbooks. You grant us a limited license to host and process that content solely to provide and improve the Service. You may export or delete data as described in the Privacy Policy and in-product controls. Disconnecting a broker revokes future API access; previously imported journal data may remain until you delete it or your account.

6. Sharing and public links

Some plans allow public or shareable links to trades or reports. Shared content may be viewable by anyone with the link. Do not share material you are not allowed to disclose. You are responsible for what you publish. We may remove or disable shares that violate these Terms or that we reasonably believe create risk for users or the Service.

By creating a share link, you grant us a non-exclusive, royalty-free, worldwide license to host and display the shared content as needed to operate sharing. You can revoke links in the product; cached or previously accessed copies may persist briefly.

7. Acceptable use

You agree not to:

  • Access another user’s account or data without authorization, or probe, scan, or test the vulnerability of the Service;
  • Interfere with or disrupt the Service, including by introducing malware or overloading infrastructure;
  • Reverse engineer, decompile, or attempt to extract source code except where such restriction is prohibited by law;
  • Use the Service for unlawful purposes, or to transmit spam, harassment, or infringing content;
  • Misrepresent your affiliation with SK TradeLog or use our marks without permission; or
  • Resell, sublicense, or provide the Service to third parties as a competing product without our written consent.

We may investigate violations and cooperate with law enforcement when we believe it is appropriate or required.

8. Intellectual property

The Service — including software, design, text, graphics, trademarks, and logos (other than your content) — is owned by SK TradeLog or its licensors and is protected by intellectual property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you. “SK TradeLog” and related marks are trademarks of SK TradeLog.

If you send feedback or ideas, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or compensation.

9. Third-party services

The Service may rely on or link to third parties (for example, hosting, databases, authentication providers, email delivery, payment processors, brokers, and market-data sources). Those services are governed by their own terms. We are not responsible for third-party sites, APIs, outages, or policies. Inclusion of a connection or link is not an endorsement.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT DATA (INCLUDING QUOTES, BALANCES, P/L, GREEKS, IV RANK, OR ANALYTICS) WILL BE ACCURATE, COMPLETE, OR CURRENT.

You assume all risk for investment and trading decisions made using information from the Service. Always verify critical information with your broker before acting.

Some jurisdictions do not allow certain warranty exclusions; in those places, exclusions apply to the fullest extent permitted.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SK TRADELOG AND ITS OWNERS, OPERATORS, AFFILIATES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR TRADING LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

12. Indemnification

You agree to defend, indemnify, and hold harmless SK TradeLog and its owners, operators, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your content, your trading decisions, or your violation of these Terms or applicable law.

13. Termination

You may stop using the Service and request account deletion at any time. We may suspend or terminate access immediately if you violate these Terms, if required by law, or if we discontinue the Service. Upon termination, your right to use the Service ends. Provisions that by their nature should survive (including ownership, disclaimers, limitations of liability, indemnity, and governing law) will survive.

14. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date will change when we do. For material changes, we may also provide additional notice (for example, by email or an in-app message). Continued use after the effective date constitutes acceptance. If you do not agree, stop using the Service and delete your account.

15. Governing law and disputes

These Terms are governed by the laws of the United States and the State of Delaware, excluding conflict-of-laws rules. You and we agree to the exclusive jurisdiction of the state and federal courts located in Delaware for disputes arising out of or relating to these Terms or the Service, except that either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. These Terms are the entire agreement between you and us regarding the Service and supersede prior agreements on that subject. Our failure to enforce a provision is not a waiver.
